Warranty USA & Canada

Congratulations on your selection and thank you for buying Rowe Furniture. We encourage you to become familiar with your new furniture. This information contains our warranty, performance characteristics, and care tips for keeping your furniture looking as good as new.

 

Warranty Limitations

The Rowe Warranty is limited in that it is provided to you, the original purchaser and owner. The Rowe Warranty does not apply to furniture that has been abused or used in a business environment and/or for commercial purposes. The Rowe Warranty only applies to furniture used for normal residential purposes.

Our warranty does not cover products sold in “distressed” or “as is” condition, products sold “second hand” or products purchased from a retailer, or any other form of reseller not authorized by Rowe to sell our products. All warranties cover labor for one (1) year only. Floor sample items are warranted for one (1) year only.

All of the Limited Warranties set forth below are subject to these Warranty Limitations.

 

Lifetime Limited Warranty-Frames and Springs

Frames and spring systems are under warranty to be free from manufacturing defects for the life of the product.

 

5-Year Limited Warranty – Sleeper Mechanisms and Swivel Chair/Rocker Mechanisms

Motion mechanisms and specific fixtures are under warranty to be free from manufacturing defects for five (5) years (this includes, but may not be limited to, swivel/rocker bases and sleep sofa mechanisms).

 

3-Year Limited Warranty on Innerspring and Cloud Contour Mattresses

Standard Rowe Sleep Sofa Innerspring and Cloud Contour Mattresses are under warranty to be free from manufacturing defects and against the loss of foam resiliency for three (3) years.

 

5-Year Limited Warranty – Seat Cushion Cores

Foam cores (not polyester fiber wrap) in all cushions (except in Cloud cushions) are under warranty to be free from manufacturing defects and against the loss of foam resiliency for five (5) years, with validation of normal wear and tear and confirmation by manufacturer of resiliency loss. Abnormal wear and abnormal loss of resiliency should not be confused with the softening and flattening of the foam and fibers, which is considered normal wear and are not defects.

Cloud cushions consist of a high-resiliency (HR) foam core wrapped with super-soft foam surrounded by a balanced blend of down, feathers and multi-denier polyester fibers encased in a channeled down-proof ticking. While this breathable ticking is down-proof and creates a feather barrier, feathers will poke through the fabric from time-to-time. This is considered normal performance and is not a defect. Cloud cushions are under warranty against defects in materials and workmanship for one (1) year.

 

Seat Cushion Care and Performance Characteristics

Our 1.8 density high-resiliency foam cores are environmentally friendly, containing no PBDEs and are manufactured without the use of any flame retardants. While foam will soften, it should not lose resiliency or the ability to recover from compression. Polyester wraps used to create surface softness will over time lose some of the initial loft which may contribute to cushion flattening and wrinkling. This is normal.

Our softer and more casual cushions, the Luxe series, Cloud cushions and Cloud Plus cushion packages will by design flatten, wrinkle, and soften. We suggest you fluff these cushions as you would fluff the feather or down pillow you sleep on.

You can prolong cushion life and keep your cushions looking fresh by turning and rotating them regularly. You may also want to regulate the cushion core and polyester wrap by unzipping the casing and adjusting the fit of the core and polyester wrap. We do not suggest removing the cushion core from the casing.

 

1- Year Limited Warranty – Fabrics, Leather, Back filling, Zippers & Fastenings

  • Upholstery fabrics, including slipcovers, are under warranty for one (1) year against seam slippage, fraying, and dye transfer, but ONLY if any cleaning conforms to industry standard methods. This warranty does not cover wearing, wrinkling, fading, or pilling. ANY SELF-TREATMENT OR RETAILER APPLIED SOIL REPELLER VOIDS THIS WARRANTY.
  • Cane, wicker, and bamboo woven components carry a one (1) year warranty. Warranty covers normal wear and tear, not punctures.
  • Back pillow filling materials are under warranty for one (1) year against the loss of foam resiliency.
  • Foam filling materials are under warranty for one (1) year against the loss of foam resiliency.
  • Zippers and seams are under warranty for one (1) year against failure, including seam slippage.

Prolong the life of your fabric

Dust and dirt promote premature fabric wear. Vacuum the surface of your furniture regularly, including the deck under the cushions, with the upholstery attachment of your vacuum cleaner.

Direct sunlight can cause some fabrics to fade. Care should be taken to limit the amount of direct sun on any piece of furniture.

 

Our Promise

Within the provisions, time allowances, and limitations of this warranty, we promise to repair or replace, any part or parts we deem to have manufacturing or material defects at our discretion.

 

Service

To request service under this warranty, contact the authorized Rowe Retailer from whom you purchased your Rowe furniture. The Retailer will contact us. Certain defects may be repaired in your home with our authorization for the first year. Some repairs will need to be made at the Factory Service Center. The Rowe Warranty does not include any transportation cost to or from the retail location. The Retailer will contact our Factory Service Center to schedule a pickup from the Retailer and subsequent service. The Rowe Warranty does not include the cost of transporting the furniture to and from the Factory Service Center after one (1) year from the date of purchase. If service is not handled through the Retailer where purchase was made, shipping and handling charges will apply.

Shipping and handling costs for parts are covered for one (1) year from the date of original purchase. After one (1) year the customer will be responsible for shipping and handling costs.

Certain information is required to process a request for service which includes a copy of your sales receipt and the serial number for each piece of furniture. You will find the style and serial numbers on the deck label sewn to the underside of the piece of furniture or under the seat cushions. Without proper validation of the furniture, the warranty will be void. If either you or the retailer has moved, you may contact our Customer Care Department at www.rowefurniture.com.

Rowe shall not be responsible for any incidental or consequential damage and in any responsibility of Rowe shall not exceed the purchase price of the product or its replacement. Some states do not allow the exclusion or limitation of incidental or consequential damage, so the foregoing limitation or exclusion may or may not apply to you.

Occasional Warranty

Rowe Case Goods Limited Warranty

Rowe Fine Furniture Inc., the manufacturer of Rowe Furniture® and Robin Bruce® products (the “Company”), provides the following limited warranty subject to the exceptions set out below. The Company only warrants its products purchased from an authorized dealer.

CASE GOODS LIMITED WARRANTY

SUBJECT TO THE LIMITATIONS AND EXCLUSIONS DESCRIBED HEREIN, THE COMPANY WARRANTS TO THE ORIGINAL PURCHASER ONLY ITS CASE GOODS PRODUCTS TO BE FREE FROM DEFECTS IN MATERIAL AND WORKMANSHIP FOR A TERM OF ONE (1) YEAR FROM THE DATE OF PURCHASE FROM AN AUTHORIZED DEALER BY THE ORIGINAL PURCHASER. THIS IS THE SOLE WARRANTY AND IS IN LIEU OF ALL OTHERS, ORAL OR WRITTEN, EXPRESS, OR IMPLIED. NO REPRESENTATIVE OF COMPANY OR ITS DEALERS IS AUTHORIZED TO MAKE ANY CHANGES TO THIS LIMITED WARRANTY.

 

WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY

ANY AND ALL IMPLIED WARRANTIES ARE EXPRESSLY DISCLAIMED, INCLUDING WARRANTIES OF MER- CHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT AND QUIET ENJOYMENT. IN NO EVENT WILL ROWE FINE FURNITURE BE LIABLE FOR ANY INDIRECT DAMAGES, INCLUDING INCIDEN- TAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE A ROWE PRODUCT. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY WILL LAST OR THE EXCLUSION OR LIMITATION OFINCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIM- ITATIONS MAY NOT APPLY.

 

WARRANTY LIMITATIONS AND EXCLUSIONS

  1. The warranty is void if the Company’s product is modified or altered in any way after shipment by the Company.
  2. The warranty is void if any aftermarket protective treatments are applied to the Company’s product after the original factory packing has been opened. Re-upholstering the product frames voids all warranties due to the possibility that the internal structure could be compromised during the recovering process. Natural variations in color, texture, physical distressing, and other inherent features of manufactured wood furniture, as well as components characteristics, are not considered defects.
  3. The Company reserves the right to modify a product from its original form displayed on showroom floors or in catalogs. Such modifications are not considered defects under the warranty.
  4. The warranty applies under conditions of normal residential usage. It does not apply to defects or damage resulting from negligence, abuse, or misuse – including but not limited to inadequate or improper maintenance, exposure to water, salt air, chemicals, accidents, any use for which the product was not designed, or commercial use (including rental, business, commercial, institutional or any non-residential use), nor does it cover ordinary wear-and-tear.
  5. Because of the natural materials used in the manufacturing process, and the fact that the Company’s products are generally handmade, minor variations will occur from piece to piece. These are not considered defects under the warranty.
  6. Stone and marble contain vein-lines, hairline fissures, pores and color variations that are natural characteristics and are not considered defects under the warranty. Because stone is porous, spills allowed to seep in may not be removable. Use coasters or a tablecloth to protect from spills or sweat rings. Wipe any spills immediately.
  7. Full-grain leather is a natural product. The wrinkles, skin folds and scars are authentic and a natural part of the leather. These characteristics enhance the beauty and quality of the hides and are not considered defects. For daily dustings, use dry, clean, cotton cloths.
  8. Sunlight will cause wood, finishing materials, and fabrics to change color – these changes are not considered defects under the warranty.
  9. Extremes in temperature and humidity can cause both wood and finishing materials to shrink, swell, warp, split, and glue seams to fail. These conditions are not considered defects under this warranty.
  10. Rubber lamp bases, lamp cords and some types of plastic materials may soften and injure the finish if left in direct contact with the furniture for an extended period. Such damage is not considered a defect under the warranty. To avoid this, place a piece of felt or leather under these materials where they contact the furniture.
  11. Direct contact with petrochemical products, (nail polish remover, alcohol, etc.) will damage the finish. Such damage is not considered a defect under the warranty. Wipe up any spills or dampness on your furniture immediately. Use a clean cloth and wipe with the grain of the wood. First, wipe with a soft cloth dipped in a mild soap and water solution and wrung out; wipe again with a second clean cloth; then dry thoroughly with a third cloth.
  12. Woven materials, including but not limited to wicker, sea grass, and other similar materials, are comprised of individual strands that can move causing unfinished areas to show under the strands or the finish to slightly peel where it bridges between strands. These characteristics are not considered defects under the warranty. Clean the frames of your natural fiber furniture by dusting or vacuuming, sponge spills with mild soap and water, rinse, and wipe dry.
  13. The Company’s products are not designed for outdoor use. There may be images in catalogs that display items in an outdoor setting. This is for display purposes only and not an indication that the product is suitable for outdoor use. Damage due to exposure to outdoor elements is not considered a defect under the warranty.
  14. Neither this nor any other warranty, express or implied, is offered by the Company for any electrical devices, including but not limited to lighting fixtures, surge protectors, or computer, electronic or multi-media management devices that may be included with a product.
  15. The Company strives to provide an accurate representation of the finishes, fabrics, and materials displayed in its catalogs and on our website; however, due to changes in lighting and a wide variety of resolution qualities on different computer monitors and printers, some color variation is possible. To determine the exact color of a finish, fabric, or material, we suggest that you contact the dealer.
  16. This warranty does not cover floor samples or other products designated “as is” or “final sale” at time of purchase
  17. The Company’s products are offered in a variety of finishes. Each piece is finished by hand and in- volves a variety of steps. While the Company strives to replicate each finish to a standard finish, each piece is truly unique due to the individual attention each order receives. This is a result of the varying application techniques that are handcrafted. Additionally, variations in the wood used in a piece, such as species, grain, and color have their own impact on the final look of your finished piece. These conditions and variations from piece to piece are not considered defects. Because the finishing process is completed on demand, it is preferable to finish matching pieces for our customers at the same time to match a finish between pieces. The Company recommends customers order matching pieces at the same time to decrease the number and likelihood of variations.
  18. Silver Leaf application is applied by hand and can contain some slight wrinkling and variations. These conditions are not considered defects.
  19. Striping or accenting is available on certain items. This is a very labor-intensive manual process, and the look will vary from piece to piece. These differences in appearance are not considered defects.

Terms & Conditions

THE LEGAL AGREEMENT SET OUT BELOW (“AGREEMENT”) GOVERNS YOUR USE OF THE ROWE FINE FURNITURE, INC. (“ROWE”) DEALER SERVICES ("SERVICES"). TO AGREE TO THESE TERMS, CLICK "AGREE." IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK "AGREE," AND DO NOT ACCESS THE DEALER SITE OR USE THE SERVICES.

Rowe is the provider of the Services, which provides you with access to the Dealer Site (“Site”) and to obtain and use available digital images, manuals, catalogs, samples, order forms, price lists, advertising materials and other documents, data, articles, website content and supplies in connection with Rowe’s products and services (collectively “Sales Materials”) solely in connection with your services as an authorized Rowe dealer (“Authorized Rowe Dealer”) and only under the terms and conditions set forth in this Agreement.

As an Authorized Rowe Dealer, you may establish an account ("Account") in order to access and obtain the Services. Don’t reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify Rowe of any security breach of your Account. Rowe shall not be responsible for any losses arising out of the unauthorized use of your Account. You agree that you will not use your Account, the Site, Services and Sales Materials except in your capacity as an Authorized Rowe Dealer in compliance with this Agreement. Your Account and access to the Services shall immediately terminate without notice to you upon suspension or termination of your engagement as an Authorized Rowe Dealer for any reason, or if in the sole discretion of Rowe, you have used, or Rowe suspects you have used, your Account, the Site, Services and Sales Materials other than as authorized by this Agreement.

You agree that the Site and all Sales Materials and all Sales Material content, in any and all media, and any and all intellectual property rights therein, shall, at all times, remain the property of Rowe. You agree that you will not use the Site and Sales Materials in any way whatsoever except for use of the Services in compliance with this Agreement. No portion of the Site or Sales Materials may be reproduced in any form or by any means, except as expressly permitted in this Agreement. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Site and Sales Materials in any manner, and you shall not exploit the Services in any unauthorized way whatsoever, including, but not limited to, by trespass or burdening network capacity.

Within ten (10) days of written notice by Rowe to you for any reason, or immediately upon termination of your engagement as an Authorized Rowe Dealer for any reason, you agree to return to Rowe all Sales Materials as well as all other materials furnished to or acquired by you as a result of your engagement by Rowe. Immediately upon termination of your engagement as an Authorized Rowe Dealer for any reason, you agree to cease any and all use of the Sales Materials, all Sales Materials content and any and all intellectual property owned or licensed by Rowe, including but not limited to Rowe’s copyrights in its Sales Materials and Rowe’s trademarks, service marks, designs, logos and business names.

DISCLAIMER OF WARRANTIES; LIABILITY LIMITATION

ROWE DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF YOUR ACCOUNT WILL BE UNINTERRUPTED OR ERROR-FREE. YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, YOUR ACCOUNT IS AT YOUR SOLE RISK. YOUR ACCOUNT AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE ACCOUNT ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO YOU.

IN NO CASE SHALL ROWE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF YOUR ACCOUNT, THE SITE, THE SERVICES OR THE SALES MATERIALS OR ANY OTHER RELATED CLAIM, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, ROWE'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

ROWE SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH YOUR ACCOUNT, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND ROWE HEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.

ROWE DOES NOT REPRESENT OR GUARANTEE THAT YOUR ACCOUNT, THE SITE OR THE SERVICES WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND ROWE DISCLAIMS ANY LIABILITY RELATING THERETO.

WAIVER AND INDEMNITY

BY USING THE YOUR ACCOUNT, THE SITE AND THE SERVICES, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD ROWE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR USE OF YOUR ACCOUNT, THE SITE AND THE SERVICES, OR ANY ACTION TAKEN BY ROWE AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED.

Rowe reserves the right at any time to modify this Agreement and to impose new or additional terms or conditions on your use of your Account, the Site and the Services. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Services will be deemed acceptance thereof.

This Agreement constitutes the entire agreement between you and Rowe and governs your use of your Account, the Site, the Services and the Sales Materials, superseding any prior agreements between you and Rowe. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Rowe's failure to enforce any right or provisions in this Agreement will not constitute a waiver of such or any other provision. Rowe will not be responsible for failures to fulfill any obligations due to causes beyond its control. You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of your Account, the Site and the Services.

Notwith­standing principles of conflicts of law of any jurisdiction to the contrary, Rowe and you agree that all terms and provisions of this letter agreement are to be construed and governed exclusively by the laws of the Commonwealth of Virginia. Any action or other legal proceeding arising out of or relating to this letter agreement shall be brought exclusively in the Circuit Court for the County of Montgomery or the United States District Court for the Western District of Virginia as appropriate, and you and Rowe hereby each agree and submit to the personal jurisdiction and venue of these courts and in addition, you and Rowe hereby irrevocably and unconditionally waive, to the fullest extent permitted by law, any objection which either of you or Rowe may now or hereafter have to the laying of venue of any such proceedings, and hereby further irrevocably and unconditionally waive and agree to the fullest extent permitted by law not to plead or claim that any such proceeding brought in any such court has been brought in an inconvenient forum. The costs and expenses of the substantially prevailing party in any dispute arising in connection with this Agreement shall be borne by the non-prevailing party. You acknowledge that any violation of this Agreement may subject Rowe to irreparable injury not fully compensable in monetary damages, and that Rowe is entitled to seek whatever remedies are available to it at law or in equity, including but not limited to preliminary and permanent injunctive relief, without the necessity of posting a bond. You further consent to court enforcement of the specific language of this Agreement.

Prop 65

Proposition 65 is the Safe Drinking Water and Toxic Enforcement Act passed by voters in the State of California in 1986. The act was created to inform California consumers about possible exposure to chemicals deemed by the State of California to be harmful. The warnings are intended to help California consumers make informed decisions about their exposures to these chemicals from the products they use. The California Office of Environmental Health Hazard Assessment (OEHHA) administers the Proposition 65 program and publishes the listed chemicals, which includes more than 850 chemicals. Since Rowe is operating and selling products within the State of California, it must comply with the requirements of Proposition 65 and place warning labels on its products sold in California. While the warning label is only required for items sold in California, Rowe has made the corporate decision as a matter of best practices to install the label on all of its products regardless of destination.

IMAP Policy

Rowe Fine Furniture, Inc. (“Rowe/Robin Bruce Furniture”) has unilaterally adopted this Internet and Non-Internet Minimum Advertised Price Policy (hereinafter, “IMAP Policy”) on all Rowe/Robin Bruce Furniture products to protect the investment of its distributors and retailers and to promote and preserve its brand value and good reputation for providing customers with high value products and customer support.

  1. IMAP Policy Application. This IMAP Policy shall apply to all distributors, retailers, or sales representatives including catalog and internet retailers, who resell Rowe/Robin Bruce Furniture products, whether Rowe/Robin Bruce branded or white labeled by the Reseller, to end users and consumers located in North America (collectively, “Resellers”) and who now or hereafter advertise Rowe/Robin Bruce Furniture products for sale. Accordingly, this IMAP Policy applies to any and all advertising of Rowe/Robin Bruce Furniture products, both branded and white labeled, by Resellers.
  2. Effective Date. This IMAP Policy shall become effective on September 1, 2022.
  3. The IMAP Policy. The IMAP Policy applies to any and all advertised prices of Rowe/Robin Bruce Furniture products, both branded and white labeled, either on television, radio, in print, or over the Internet that can be heard or viewed by a prospective consumer (i.e. end users) of Rowe/Robin Bruce Furniture products (the “Advertised Price”). Any advertisement of a Rowe/Robin Bruce Furniture product must include an Advertised Price that cannot be below the Minimum Advertised Price (“MAP”) set by Rowe/Robin Bruce Furniture.
The Advertised Price means the price at which Rowe/Robin Bruce Furniture products subject to this IMAP Policy are advertised for sale, and includes but is not limited to:
  1. Radio and Television advertising;
  2. All print media such as catalogs, flyers, newspaper inserts, coupons, brochures, and direct mail;
  3. All electronic media such as websites, social media, email newsletters, banner and display ads, search engine marketing & optimization, pay per click or keyword advertising, and email solicitations;
  4. Any image or graphic made available to the public depicting a Rowe/Robin Bruce Furniture product or using its copyrighted or trademarked materials;
  5. Rowe/Robin Bruce Furniture sponsored social campaigns (Exp. #MeetMadeline);
  6. Rebates, volume incentives, or other discounting;
  7. Payment of sales or other taxes on behalf of the consumer if the Resellers offer to pay taxes would cause the actual cost of providing the product to the consumer to be less than the MAP;
  8. Offers to deal or negotiate a better price;
  9. Gifts, premiums, or services associated with the purchase of Rowe/Robin Bruce Furniture products;
  10. Site-wide discounts, unless the Reseller clearly states that Rowe/Robin Bruce Furniture Products subject to this IMAP Policy are excluded;
  11. Online “Click-Thru” pricing, if a price lower than the MAP appears once the item has been added to a shopping cart;
  12. Internet auctions, which are prohibited from having reserved bid or other acceptable prices below the MAP; and
  13. Shipping Costs, if the Resellers offer to provide free shipping would cause the actual cost of providing the product to the consumer to be less than the MAP.
“Bundling” or including a free or discounted product (whether made by Rowe/Robin Bruce Furniture or another manufacturer) with a Rowe/Robin Bruce Furniture product covered by this IMAP Policy is a violation of this policy and is not permitted if it has the effect of discounting the advertised price of the Rowe/Robin Bruce Furniture product below the MAP. Any striking-through or alteration of any Advertised Price of any Rowe/Robin Bruce Furniture product subject to IMAP pricing is prohibited. Advertisement of Rowe/Robin Bruce Furniture specific trade discounts must not be made visible to non-design-trade website visitors including, but not limited to on site promotions, email advertising campaigns or any other means used to solicit new potential trade members.
  1. Exceptions and Exclusions. This IMAP Policy does not apply to:
  2. Discounted, closeout or other products that Rowe/Robin Bruce Furniture does not designate or select as being subject to IMAP;
  3. Damaged or distressed products such as products sold on an “as is” basis and are clearly identified as such;
  4. Any overstock promotions announced by Rowe/Robin Bruce Furniture; and
  5. Floor samples and open box return products. However, any advertisements of such products must clearly identify that the product is a floor sample or open box return.
Rowe/Robin Bruce Furniture products and their branded product names shall not be advertised so as to be associated with phrases such as “low low prices,” “factory direct,” or other similar phrases, nor advertised with any prices that are less than the MAP designated by Rowe/Robin Bruce Furniture or in violation of the IMAP Policy. The IMAP Policy does not otherwise limit the ability of any Reseller to advertise that “they have the lowest prices” or they “will meet or beat any competitor’s price,” that consumers should “call for a price” or “factory direct” phrases of similar import as long as these phrases are not associated with Rowe/Robin Bruce Furniture products and the branded product names.
  1. Designation of Rowe/Robin Bruce Furniture products subject to IMAP. Rowe/Robin Bruce Furniture may designate or select which products are subject to this IMAP Policy at any time. The MAP for all Rowe/Robin Bruce Furniture products subject to the IMAP Policy will be posted to Rowe/Robin Bruce Furniture’s dealer website. The MAP for all Rowe/Robin Bruce Furniture products may be adjusted by Rowe/Robin Bruce Furniture at its sole discretion. Rowe/Robin Bruce Furniture may institute offers and promotions for products covered by the IMAP Policy at any time and may modify or suspend the IMAP Policy and IMAP pricing with respect to the affected products at its sole discretion. The MAP for Rowe/Robin Bruce Furniture products shall be listed on the Rowe/Robin Bruce Furniture price list for Resellers, which shall be made available to Resellers on Rowe/Robin Bruce Furniture’s dealer website.
Each Reseller should make its management team and all sales and marketing associates aware of Rowe/Robin Bruce Furniture’s IMAP Policy and should review the information posted on Rowe/Robin Bruce Furniture’s dealer website for updated information and changes to the IMAP Policy and MAP for Rowe/Robin Bruce Furniture products on a regular basis.
  1. Actual Sales Price Unaffected. This IMAP Policy applies only to advertised prices and does not apply to the price at which Rowe/Robin Bruce Furniture products are actually sold or offered for sale to an individual consumer within the Resellers retail location, by email or text communication directed specifically to the ultimate purchaser, or over the telephone. Resellers remain free to sell any Rowe/Robin Bruce Furniture products at any prices they elect.
The IMAP Policy does not establish maximum advertising prices. All Resellers may offer for sale Rowe/Robin Bruce Furniture products at any price in excess of the MAP established for selected products.
  1. No Contract or Right to Purchase. The IMAP Policy does not establish a contract between Rowe/Robin Bruce Furniture or the Reseller nor does it grant to any Reseller the right to purchase Rowe/Robin Bruce Furniture products. Rowe/Robin Bruce Furniture at all times maintains the right to determine which products, if any, it will sell or provide to any Reseller. It is up to the Reseller to determine whether it will accept and abide by the IMAP Policy.
  2. Changes and Questions. The foregoing IMAP Policy, along with any MAP listing, are subject to modification or discontinuance by Rowe/Robin Bruce Furniture, in its sole and absolute discretion, at any time. Any action taken by Rowe/Robin Bruce Furniture under this IMAP Policy shall be without liability to Rowe/Robin Bruce Furniture. Should Rowe/Robin Bruce Furniture choose to adjust the MAP for any or all selected products, Resellers will be given seven (7) days from the posting of the new MAP prices on Rowe/Robin Bruce Furniture’s dealer website to bring their advertised prices into compliance with the new MAP(s).

  1. Violations. In cases of violation of the IMAP Policy, Resellers will be given twenty-four (24) hours to bring advertising into compliance or Rowe/Robin Bruce Furniture, at its sole discretion, may cease supplying Rowe/Robin Bruce Furniture products to the Reseller. In cases of intentional and/or repeated failure to abide by this policy, Rowe/Robin Bruce Furniture, at its sole discretion, may temporarily suspend or terminate all pending or future orders from Rowe/Robin Bruce Furniture to the Reseller. Rowe/Robin Bruce Furniture will not provide prior notice or issue a warning before acting under the IMAP Policy. If a Reseller with multiple store locations violates this IMAP Policy at one store location, or an any associated website, Rowe/Robin Bruce Furniture will consider this to be a violation of the IMAP Policy by the Reseller.
 
  1. Unilateral Policy. This IMAP Policy has been established by Rowe/Robin Bruce Furniture unilaterally and without any input from any Reseller or any third party, and nothing in this policy shall constitute an agreement between Rowe/Robin Bruce Furniture and any Reseller that the Reseller will comply with this Policy. Rowe/Robin Bruce Furniture is solely responsible for the implementation and administration of this IMAP Policy. MAPs are non- negotiable. No employee or sales representative of Rowe/Robin Bruce Furniture has any authority to discuss or modify this IMAP Policy or MAP(s) with Resellers and any such agreement which claims to modify this IMAP Policy or MAP(s) is unauthorized and invalid.
